On the other side, trust rights, despite being highly used in the real estate sector, are not contemplated in this law. In this article, we will discuss the troublesome around this tool. For example, we will solve if trust rights should be known as securities and the implications that this would carry. Although, we will analyze the between the trust rights and the public offer. In the same way, it will be examined if there is an association between the lack of regulation of trust rights and their susceptibility to be used as a mechanism of irregular handling of public budget. At last, a parallel between an American and a Colombian case will be established, looking forward to define possible solutions that make this gray zone clearer in our legal order.La Ley 964 de 2005 indica lo que se entiende por valor dentro del ordenamiento jurídico colombiano y da una lista aparentemente taxativa de lo que se entiende como tal. El problema radica en el momento en que nos encontramos frente a un denominado "vehículo inmobiliario" que tiene las características de un valor. Este el caso de los derechos fiduciarios, los cuales, a pesar de ser utilizados en gran medida en el sector inmobiliario, no parecen estar regulados dentro de la Ley 964 de 2005. En el presente artículo se procederá a estudiar algunas problemáticas que giran en torno a este instrumento jurídico. Por ejemplo, se resolverá si los derechos fiduciarios son un valor y se estudiarán las implicaciones que trae el que sean o no considerados como tal y su relación con la oferta pública. De la misma manera, se examinará la relación existente entre la falta de regulación de los derechos fiduciarios y la susceptibilidad que tienen para ser utilizados como mecanismos de captación ilegal del dinero del público.
