Summary:Law 964 from 2005, dictates what the term "security" means among the Colombian legal order and indicates, prescriptively, how it should be understood. The problem arises when we find ourselves in front of a so called "real estate investment trust", which resembles a security. On the other side, trust rights, despite being highly used in the real estate sector, are not contemplated in this law. In this article, we will discuss the troublesome around this tool. For example, we will solve if trust rights should be known as securities and the implications that this would carry. Although, we will analyze the between the trust rights and the public offer. In the same way, it will be examined if there is an association between the lack of regulation of trust rights and their susceptibility to be used as a mechanism of irregular handling of public budget. At last, a parallel between an American and a Colombian case will be established, looking forward to define possible solutions that make this gray zone clearer in our legal order.
