Summary:Contemporary corporate law in Colombia concentrates its categories of analysis and problem solving in a fundamentally economic perspective. This has created the idea that the problems that arises in corporate firms on which the law should focus its attention can be understood within the so-called ?agency problems?. In this sense, the most recent legal and jurisprudential developments of corporate law in Colombia have been aimed at focusing corporate law on the economic analysis of problems, and particularly, on the analysis of agency problems and their resolution. However, there is a diversity of problems generated in companies that do not respond to the logic of agency problems, but to other circumstances that are largely ignored by corporate law. Furthermore, these problems can be much more frequent in family companies.
