Summary:This article intends to study the legislative, doctrinal and eventually jurisprudential responsibilities to be incurred by the administrators of the commercial companies; concretely when they violate the duties stablished by legal and statutory laws that have been previously imposed. Their position as administrators plays a vital importance, not only for accomplishing its company purpose, for the common and individual interests of the members, but in terms of the impact to come by their decisions within and outside the company, also in terms of the repercussion that those decisions may cause on third parties outside the interests if the company and society; therefore is necessary expressly to stablish which one and how far extends the responsibility of the administrators against the harmful effects at any given time their activities inherent to environment in the Colombian society.
