Summary: | This article highlights the importance of determining the existence of explicit and implicit contracts in the hiring of managers, not included in the study prior Gillan et. Al. It shows how the asymmetry of information; the institutional context; and, firm and manager power faces the labor agreement will directly influence the type of contract. We conclude posing as a central argument that there are two types of determinants: influence and mediation. The mediation determinants make sense when they are explicitly linked to influence determinants. The influence determinants are combined in one or another given situation and exert influence on the mediation determinants. The latter are the ones who determine the propensity toward type of contract, and there are three: The expected value of the loss by hold up; the power with which managers and firms faced the agreement; and, the possibility of opportunistic behavior. Other determinants are classified as influence. This argument is contrasted by the use of structural analysis technique. |
