Features of the Code of Good Governance in Colombia are evaluated in which look for get competitiveness, sustainability, and deepening of the stock market, according to the principles of the OECD. It is presented a comparative study make in the country during 2002 and 2007 where there were deficiencies in the codes of the company's investor protection, the role of boards and transparency of information. The author shows a study about the annual penetration in adopting good governance practices in Colombia and concludes that the private financial sector is concerning to adopt them. That study present that 60% of companies have made no changes to the code since its inception.La Ley 275 de 2001 determinó el sistema de Gobierno Corporativo colombiano. El presente documento permite una mirada desde su entrada en vigencia. Se comentan los lineamientos de los estándares internacionales en esta materia y se comparan con la legislación nacional. Se evalúan las características del Código de Buen Gobierno en Colombia donde se promueve el logro de la competitividad, sostenibilidad y profundización del mercado accionario con base en los principios de la OCDE. Se cotejan estudios realizados en el país (2002, 2007) donde se observa deficiencia en los códigos de las empresas en cuanto a la protección del inversionista, el papel de las juntas directivas y la transparencia en la información. Se expone también cómo ha sido la penetración anual en la adopción de prácticas de buen gobierno en Colombia y la preocupación de empresas privadas del sector financiero por adoptar dichas prácticas.
